Repify AI Terms of Service
Effective Date: April 1,2026
Hello — we are Behold Business Intelligence, Inc., an Oklahoma corporation, doing business as Repify AI (Repify, we, us, or our). These Terms of Service (Terms) form a legally binding agreement between Repify and the company or other legal entity that creates an account or clicks the Agree button (Customer, you, or your). By using the Service, Customer agrees to these Terms.
1. The Service
Repify provides cloud-based software that helps Sales and Marketing organizations set strategic goals, collect customer-level data, monitor, report and analyze performance (the Service). Repify may improve the Service from time to time so long as any change does not materially reduce core features.
2. Subscription License
2.1 Grant. For the subscription term, Repify grants Customer a limited, non-exclusive, non-transferable license to access and use the Service for Customer's internal business purposes.
2.2 Restrictions. Customer must not: (a) copy, modify, reverse-engineer, benchmark, or compete with the Service; (b) share login credentials or allow unauthorized access; (c) use the Service for unlawful purposes, transmit harmful content, or attempt to gain unauthorized access to systems; (d) interfere with the Service's operation or security; or (e) use the Service to harass, spam, or violate others' rights. 2.3 Beta features. Any beta features are provided as is and may change at any time.
3. Customer Data
3.1 Ownership. Customer owns all data, images, text, and other content it uploads (Customer Data).
3.2 License to Repify. Customer grants Repify a worldwide license to: (a) host, process, and display Customer Data as necessary to provide the Service; and (b) use Customer Data in aggregated and de-identified form to develop, train, and improve Repify's machine-learning models, algorithms, and analytics. "De-identified" means data processed to remove direct identifiers and aggregated such that individual customers cannot reasonably be re-identified. Customer may opt out of ML training use by contacting support, though this may limit certain Service features.
3.3 Confidentiality. Repify will keep Customer Data confidential and will not sell or monetize it.
3.4 Deletion. Upon request at any time after termination, Repify will delete Customer Data and confirm within 30 days, unless law requires retention.
4. Security and Privacy
Repify will use industry-standard safeguards to protect Customer Data and will notify Customer of a data breach as required by law. Additional privacy details are in Repify's Privacy Notice.
5. Fees, Renewals, and Price Changes
5.1 Fees are paid in advance by credit card each month unless Customer selects quarterly or annual pre-payment.
5.2 Subscriptions renew automatically for the same term unless either party gives notice before the current term ends.
5.3 Repify may change fees with at least 30 days advance email notice. Customer may cancel before the new price starts; continued use means acceptance.
5.4 Fees exclude taxes, which Customer must pay.
6. Service Availability
Repify targets 99.5% monthly uptime for the Service, measured monthly and excluding scheduled maintenance (announced at least 24 hours in advance). While Repify does not guarantee specific uptime levels, we will use commercially reasonable efforts to maintain Service availability.
7. Acceptable Use
Customer must not use the Service for unlawful or harmful content or try to gain unauthorized access to systems. Repify may suspend access for AUP violations.
8. Intellectual Property
Repify owns the Service, software, models, algorithms, analytics, and all improvements. Customer receives only the license stated in these Terms.
9. Third-Party Components
Open-source or third-party software used in the Service is subject to their own licenses, available on request.
10. Disclaimers
To the fullest extent allowed by law, Repify disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Repify does not warrant that the Service will be uninterrupted or error-free.
11. Limitation of Liability
Except for payment obligations, indemnities, confidentiality breaches, and damages from gross negligence or willful misconduct, each party's total liability is limited to the greater of: (a) six months of fees paid or payable in the 12 months preceding the claim, or (b) USD 25,000. Neither party is liable for indirect, consequential, incidental, special, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of their possibility.
12. Indemnification
12.1 Repify will defend and indemnify Customer against third-party claims that the Service infringes a patent, copyright, or trademark in the United States, Canada, European Union, or United Kingdom, provided Customer: (a) promptly notifies Repify in writing; (b) grants Repify sole control of the defense and settlement; and (c) provides reasonable cooperation. If the Service becomes subject to an infringement claim, Repify may, at its option: modify the Service to be non-infringing, obtain rights for continued use, or terminate the affected Service with pro-rated refund.
12.2 Customer will defend and indemnify Repify against claims arising from Customer Data or Customer's use of the Service in breach of law or these Terms.
13. Term and Termination
These Terms commence on the Effective Date and continue until all subscriptions expire or are terminated. Either party may terminate these Terms: (a) for material breach (including non-payment, violation of use restrictions, or breach of confidentiality obligations) by providing 30 days written notice, provided the breach is not cured within such period; (b) immediately if the other party becomes insolvent or files for bankruptcy; or (c) for convenience with 30 days written notice. Upon termination, Customer's access ends immediately, but data export rights in Section 14 survive.
14. Data Export and Deletion
Customer may export Customer Data at any time during the subscription term and for 30 days after termination in commonly used formats (CSV, JSON, or PDF as applicable to data type). Export requests should be submitted to support@repifyai.com. Customer may request deletion of Customer Data at any time after termination; Repify will delete Customer Data from production systems within 30 days and provide written confirmation, except where retention is required by law or for backup systems (which will be deleted within 90 days).
15. Changes to These Terms
Repify may update these Terms by posting a revised version and giving at least 30 days notice. Continued use after the effective date means acceptance.
16. Dispute Resolution and Governing Law
16.1 Arbitration. Any dispute the parties cannot resolve informally will be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Oklahoma City, Oklahoma, before one arbitrator.
16.2 Class action waiver. Disputes must be brought only on an individual basis.
16.3 Small claims court. Either party may use a small claims court with jurisdiction.
16.4 Governing law. These Terms are governed by the laws of the State of Oklahoma and applicable United States federal law.
17. Force Majeure
Neither party will be liable for delays or failures due to causes beyond its reasonable control, including natural disasters, government actions, internet failures, or cyber attacks, provided the affected party promptly notifies the other and uses reasonable efforts to minimize impact.
18. General
These Terms, together with any Order Form and the Privacy Notice, are the entire agreement. "Order Form" means any order document or online subscription form that references these Terms and specifies Service details, pricing, and subscription term. If any part is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent except to a successor by merger or asset sale. The parties are independent contractors. Notices must be sent in writing by email or certified mail to the addresses on record.
